Fed Greenlights Santander–Webster Deal: Spanish Giant Set to Close August 20, Targeting ~18% U.S. RoTE by 2028

Summary :

Banco Santander announced on August 4, 2026 that it has received U.S. Federal Reserve approval to acquire Webster Financial Corporation, clearing the final major regulatory hurdle and setting closing for on or around August 20, 2026.

The transaction, structured through the issuance of Santander ordinary shares and American Depositary Shares, will fold Webster—an $80+ billion-asset commercial and regional bank—into Santander Bank, N.A., materially scaling the group’s U.S. franchise. Executive Chair Ana Botín said the combination “will create a stronger bank” backed by Santander’s global platforms, technology and expertise; Santander Holdings USA CEO Christiana Riley added that the tie-up expands the group’s U.S. scale, while Webster Chairman and CEO John Ciulla emphasized deeper local relationships enabled by Santander’s enhanced capabilities and financial strength. Santander disclosed targets of roughly 18% return on tangible equity in the U.S. by 2028, 7–8% EPS accretion and ~15% return on invested capital, positioning the deal as a core lever for the group’s €1.5 trillion asset base and 182 million+ customer platform. Most Webster businesses will be integrated into Santander Bank, N.A. after closing, with customer accounts and services continuing uninterrupted through the integration.

Why Selected:

A rare mega-cap cross-border banking M&A finally getting Fed approval—when a Top-15 global bank is willing to publicly pin ~18% U.S. RoTE by 2028 on a single deal, that is a hard number the market cannot ignore.
