Alcoa Acquires South32 Assets for $4.1 Billion, Creating a Global Aluminum Powerhouse

Alcoa Corporation (NYSE: AA) has signed a definitive agreement to acquire South32’s bauxite, alumina, and aluminum operations for approximately $4.1 billion in cash and stock, plus a contingent value right of up to $750 million.

The transaction represents an implied enterprise value of roughly $4.7 billion including net debt. Alcoa expects approximately $900 million in net present value synergies from the deal. The acquisition adds high-quality, low-cost mining and refining assets across Australia, Brazil, and a new presence in South Africa. The deal is expected to be immediately accretive to Alcoa’s EPS and free cash flow. This strategic move strengthens Alcoa’s position as the world’s leading pure-play upstream aluminum company at a time of surging demand for critical minerals.
